Terms of Service
Last updated: 8 March 2025
These Terms of Service ("Terms") constitute a legally binding agreement between you and TECHNIBEES LIMITED governing your access to and use of the WiseSign website and services ("Service").
By accessing or using WiseSign, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Operator
WiseSign is operated by TECHNIBEES LIMITED, a company registered in England and Wales (Company No. 15107629). References to "WiseSign", "we", "our", or "us" refer to TECHNIBEES LIMITED.
2. Description of service
WiseSign provides an AI-powered document analysis platform that helps users review and understand contracts and other documents before signing. The platform includes document upload, automated AI-powered contract analysis, risk flagging, and plain-English summaries.
WiseSign is a technology tool, not a law firm, and does not provide legal advice. AI-generated outputs are for informational purposes only and must not be relied upon as a substitute for qualified legal counsel.
3. Eligibility
To use WiseSign you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding agreement; (c) not be prohibited from using the service under applicable law; and (d) comply with these Terms in full.
4. Account registration and security
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@technibees.com if you suspect any unauthorised access to your account.
We are not liable for any loss or damage resulting from your failure to keep your credentials secure.
5. Acceptable use
You agree to use WiseSign only for lawful purposes and in accordance with these Terms. You must not:
- Upload documents you do not have the legal right to share or process.
- Use the Service to facilitate or assist any illegal activity.
- Upload material that is obscene, defamatory, threatening, or infringes third-party rights.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our express written permission.
- Resell, sublicense, or commercially exploit the Service or its outputs without authorisation.
- Introduce viruses, malware, or other harmful code into the Service.
- Misrepresent your identity or impersonate any person or entity.
- Use the Service in any way that could damage, disable, overburden, or impair it.
We reserve the right to immediately suspend or terminate your access if we reasonably believe you have violated this section.
6. User responsibilities
You are solely responsible for: (a) ensuring you have the right to upload and process any documents submitted; (b) reviewing AI-generated results carefully and not relying on them as the sole basis for legal decisions; (c) obtaining independent professional legal advice where appropriate; and (d) any actions you take based on the analysis provided.
7. AI-generated analysis — important disclaimer
WiseSign uses artificial intelligence to analyse documents. You acknowledge and agree that:
- AI-generated outputs may contain errors, omissions, or inaccuracies.
- The analysis may not identify all risks, clauses, or issues within a document.
- Outputs do not constitute legal advice and must not be relied upon as such.
- You must independently verify any important contract terms before signing.
- WiseSign accepts no liability for decisions made in reliance on AI-generated analysis.
8. Document processing
Documents uploaded to WiseSign are transmitted securely and processed temporarily for the purpose of generating an analysis. WiseSign is designed to avoid permanent storage of uploaded document content. Documents are deleted after analysis is complete.
You acknowledge that documents are transmitted electronically to our infrastructure and to third-party AI providers for processing, and you consent to this as necessary to deliver the Service.
9. Payments and refunds
WiseSign currently charges $4.99 per document analysis. Payment is required to access full analysis results. All prices are listed in USD and are exclusive of any applicable taxes.
Fees are non-refundable once analysis results have been delivered, as the service is fully performed at that point. If you experience a technical failure that prevents delivery of results, please contact us and we will review the situation on a case-by-case basis.
Payments are processed by Stripe. By making a payment, you also agree to Stripe's terms of service. WiseSign does not store your full payment card details.
Prices may change at any time. Changes will not affect payments already processed.
10. Intellectual property
All WiseSign software, design, technology, trademarks, and platform components are owned by or licensed to TECHNIBEES LIMITED and are protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.
You retain ownership of documents you upload. By uploading documents, you grant WiseSign a limited, non-exclusive licence to process the document content solely for the purpose of delivering the analysis to you.
11. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
12. Limitation of liability
To the maximum extent permitted by applicable law, TECHNIBEES LIMITED shall not be liable for:
- Any decisions made based on AI-generated analysis.
- Any contract disputes, losses, or legal outcomes arising from documents analysed through the Service.
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of data, revenue, profits, business, or goodwill.
- Any damage caused by third-party services we rely upon.
Where liability cannot be fully excluded by law, our total aggregate liability to you shall not exceed the amount you paid to WiseSign in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless TECHNIBEES LIMITED and its directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) documents you upload; (c) your violation of any applicable law or third-party rights; or (d) any misrepresentation made by you.
14. Service availability
We strive to maintain a reliable service but do not guarantee uninterrupted availability. The Service may be modified, suspended, or discontinued at any time without prior notice. We will not be liable for any interruption or unavailability of the Service.
15. Termination
You may stop using the Service at any time. You may request account deletion by contacting us at support@technibees.com.
WiseSign may suspend or terminate your access immediately, without prior notice, if you breach these Terms, misuse the Service, or engage in conduct that is harmful to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately.
16. Force majeure
We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, internet outages, third-party infrastructure failures, or pandemics.
17. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, we encourage you to contact us at support@technibees.com to resolve the matter informally.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
19. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WiseSign regarding use of the Service and supersede all prior agreements, representations, and understandings relating to the same subject matter.
20. Changes to these Terms
We may update these Terms from time to time. We will notify registered users of material changes via email or an in-service notice. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
